1. Acceptance of Terms

By accessing or using IdeaToola ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to all terms, you may not access or use the Platform. These terms apply to all visitors, users, and subscribers.

2. Description of Service

IdeaToola provides sector intelligence, market research, strategic frameworks, and data-driven insights focused on the South African and African markets. Content is delivered through articles, insights reports, data stories, digital magazines, and books.

3. Subscription & Membership

Access to certain content requires a paid subscription. Membership tiers (Explorer, Starter, Pro, Executive) provide varying levels of access as described on our Pricing page. Subscriptions are billed monthly in US Dollars (USD) and may be cancelled at any time. Upon cancellation, access continues until the end of the current billing period.

4. Intellectual Property

All content, data visualizations, research reports, frameworks, and materials published on IdeaToola are the intellectual property of IdeaToola Research. Subscribers may use content for internal business purposes only. Redistribution, republication, or commercial resale of any content without written permission is strictly prohibited.

5. Data Accuracy Disclaimer

While IdeaToola strives for accuracy, all data, projections, and analysis are provided for informational purposes only. Figures are sourced from official publications, regulatory filings, and institutional research partners but may be subject to revision. IdeaToola does not provide financial, investment, or legal advice. Users should verify critical data points with primary sources before making strategic or investment decisions.

6. User Conduct

Users agree not to: (a) scrape, crawl, or systematically extract data from the Platform; (b) share login credentials or subscription access with unauthorised parties; (c) use content for competing research publications without attribution; (d) attempt to reverse-engineer proprietary models or methodologies.

7. Limitation of Liability

IdeaToola shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the Platform or reliance on its content. This includes, without limitation, losses arising from investment decisions, business strategy changes, or market actions informed by Platform content.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

9. Indemnification

You agree to indemnify, defend, and hold harmless IdeaToola, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your reliance on any content for financial, investment, or strategic decisions; (d) any third-party claims relating to your use of Platform content.

10. User-Generated Content

Users may submit comments, reviews, and other content through the Platform. By submitting content, you: (a) grant IdeaToola a non-exclusive, royalty-free, perpetual licence to use, modify, and display such content; (b) represent that you own or have rights to the content submitted; (c) agree not to submit defamatory, misleading, or unlawful content. IdeaToola reserves the right to remove any user-generated content at its sole discretion without notice.

11. Copyright & Intellectual Property Claims

If you believe that content on the Platform infringes your intellectual property rights, please submit a written notice to legal@ideatoola.com including: (a) identification of the copyrighted work; (b) the specific URL or location of the allegedly infringing content; (c) your contact information; (d) a statement of good faith belief that the use is unauthorised; (e) a statement under penalty of perjury that the information is accurate. IdeaToola will investigate all valid claims and take appropriate action.

12. No Professional Advice

All content published on IdeaToola — including but not limited to reports, articles, data visualizations, projections, and market analyses — is provided strictly for informational and educational purposes. Nothing on this Platform constitutes: (a) financial or investment advice; (b) legal advice; (c) tax advice; (d) a recommendation to buy, sell, or hold any security, asset, or financial instrument. Always consult qualified professionals before making financial or legal decisions. Past performance data presented on the Platform is not indicative of future results.

13. Third-Party Sources & Data

The Platform references and cites data from third-party sources including but not limited to the South African Reserve Bank (SARB), Statistics South Africa (Stats SA), the Johannesburg Stock Exchange (JSE), and various research institutions. IdeaToola does not guarantee the accuracy, completeness, or timeliness of third-party data. These sources are cited for reference and transparency; their inclusion does not imply endorsement by or affiliation with those organisations.

14. Force Majeure

IdeaToola shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service disruptions.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Changes to Terms

IdeaToola reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email to registered users.
